Cowgills supports Pass through transformational private equity investment and beyond
Cowgills is pleased to have supported Pass, one of the UK’s leading education technology businesses, through its successful private equity investment and to continue advising the business as it enters its next phase of growth.
Pass has built a market-leading position across education and assessment, helping learners, schools, colleges and training providers access high-quality educational services and technology solutions. The business has continued to evolve its offering, most recently with the launch of Pass Learn, a dedicated platform providing online courses, qualifications and educational pathways to learners across the UK.
Cowgills Corporate Finance worked alongside the shareholders and wider advisory team throughout the investment process, providing strategic advice to help structure a transaction that aligned the interests of all stakeholders. Preparation ahead of the deal was equally important, with the team supporting management through the due diligence process to ensure a smooth and efficient transaction.
Following the successful completion of the private equity investment at the end of 2025, the relationship has continued, with Cowgills providing ongoing tax advisory and business support services as Pass executes its ambitious growth strategy.
